[ENGLISH] General terms and conditions 3D Soundbath

Article 1 Definitions 

  1. 3D Soundbath is part of and managed by Sandrasana. Sandrasana is located in Heemstede at the Kadijk 4 (2104 AA)in the Netherlands, is registered in the trade register of the Chamber of Commerce under 62755994 and carries the VAT identification number NL002084133B57. 3D Soundbath aims to offer an app that supports the user through 3D audio.
  2. In these General Terms and Conditions, “General Terms and Conditions” shall mean the present General Terms and Conditions.
  3. In these General Terms and Conditions, “User” means the natural person who is not acting for purposes related to his business or professional activity (hereinafter: “Consumer”) or the natural person or legal entity who is acting in the exercise of his business or professional activity (hereinafter: business customer) and uses the Services of 3D Soundbath.
  4. In these General Terms and Conditions, ‘Parties’, and each individually as ‘Party’, shall mean 3D Soundbath and/or User.
  5. In these General Terms and Conditions ‘Agreement’ means: the Agreement concluded between 3D Soundbath and User, whether or not concluded in the context of an organized system for distance selling or service provision whereby, until the Agreement is concluded, exclusive use is made of one or more means of distance communication, whereby 3D Soundbath undertakes towards the User to provide Services and the User undertakes to pay a price for this. The Agreement is concluded by an offer from 3D Soundbath and the acceptance thereof by User, which is further specified in Article 4.4 of these General Terms and Conditions.  
  6. In these Terms and Conditions, ‘App’ means the app 3D Soundbath. 
  7. In these General Terms and Conditions, ‘Services’ means: all services provided by 3D Soundbath and/or third parties engaged by 3D Soundbath to the User, including providing an app that supports the user through 3D audio as well as any other work performed by 3D Soundbath for the User, of any nature, performed in the context of an assignment, including work that is not performed at the express request of the User. 
  8. In these Terms and Conditions, ‘Website’ means the Website of 3D Soundbath, accessible at https://3dsoundbath.com/.

Article 2 Identity of 3D Soundbath

  1. 3D Soundbath is part of and managed by Sandrasana. Sandrasana is located in Heemstede at the Kadijk 4 (2104 AA), is registered in the trade register of the Chamber of Commerce under 62755994 and carries the VAT identification number NL002084133B57. 
  2. 3D Soundbath can be reached by email at info@3dsoundbath.com or through the Website https://3dsoundbath.com/.

Article 3 Applicability of the General Terms and Conditions 

  1. The General Terms and Conditions apply to any offer by 3D Soundbath and to all current and future Agreements, deliveries, commercial relationships and other legal relationships between the Parties. The General Terms and Conditions of User are explicitly rejected.
  2. Deviations from the General Terms and Conditions are only valid if explicitly agreed upon in writing with 3D Soundbath. 
  3. The applicability of the User’s purchasing or other terms and conditions is expressly rejected, unless expressly agreed otherwise in writing. 
  4. The General Terms and Conditions shall also apply to additional or amended orders of the User. 
  5. If it appears that a provision or several provisions in these General Terms and Conditions are invalid, the validity of the other provisions of these General Terms and Conditions and the entire Agreement will not be affected. The parties will in such case endeavour to replace the invalid provision with a new, valid provision that approximates the invalid provision as closely as possible within the scope of the original General Terms and Conditions.

Article 4 Offer and conclusion of Agreement 

  1. All offers on the Website are entirely without obligation, unless explicitly stated otherwise. 
  2. User may contact 3D Soundbath via the Website or via email for any of the Services offered.
  3. 3D Soundbath may consult with User regarding its expectations. 
  4. The User can purchase the intended app through the Google Play Store or through the App Store. As soon as the User has completed the corresponding online (payment) procedure fully and successfully, the Agreement will be concluded. 
  5. If 3D Soundbath sends a confirmation to the User, this confirmation gives direction to the content and interpretation of the Agreement, subject to obvious clerical errors. 3D Soundbath cannot be held to its offer if the User can reasonably understand that the offer, or a part thereof, contains an obvious mistake or error.

Article 5 Execution of the Agreement 

  1. 3D Soundbath will endeavor to perform the Services to the best of its knowledge and ability and in accordance with the requirements of good craftsmanship, and as much as possible in accordance with the written agreements.  
  2. 3D Soundbath has the right to have certain activities performed by third parties. 
  3. When using third parties 3D Soundbath will take the necessary care. 
  4. The Agreement can only be executed by 3D Soundbath if the User provides complete and correct (contact) data. User shall therefore ensure that all data, which 3D Soundbath indicates is necessary or which User should reasonably understand is necessary for the execution of the Agreement, shall be provided to 3D Soundbath in a timely manner.    
  5. If for the execution of Services a deadline has been agreed or given, this is never a deadline. If a term is exceeded the user needs to give 3D Soundbath a written notice of default. 3D Soundbath must be given a reasonable time to still execute the Agreement. 
  6. 3D Soundbath is at all times entitled to refuse a User or his material on the services, without this giving rise to any right of the User to compensation towards 3D Soundbath. 3D Soundbath is not obliged to state its reasons in this regard.
  7. 3D Soundbath cannot guarantee that failures will not occur. 3D Soundbath will do its utmost to remedy malfunctions with consideration.
  8. 3D Soundbath is entitled to put the service out of commission in order to improve and adapt the service to the current state of technology and developments in the market, for example, without giving User any right to compensation or rescission.
  9. 3D Soundbath has the right to change the requirements and (technical) specifications during the term of the agreement, partly due to the fact that the online possibilities are strongly influenced by the technological progress in the field of software, data and infrastructure for the distribution of the content.

Article 6 Installation of the app 

  1. 3D Soundbath assumes that the User will use when installing the App:
    1. Equipment of which User has the right to place software thereon; and
    2. An account for which User controls all necessary account information (or, if User is 15 years of age or younger, has permission from User’s parents or guardian).
  1. User may only use the App by himself and may not allow anyone else to use the App through User’s account. 
  2. User is responsible for ensuring that usernames and passwords remain secret. 3D Soundbath is not liable for misuse of usernames, passwords or any other means by which User can be identified when User uses the App. Thus, 3D Soundbath may assume that User is the actual User who logs in with one of the corresponding means of identification and the consequences are also at User’s own expense. Once User suspects that any of User’s means of identification are being misused, User must immediately report this to 3D Soundbath via email info@3dsoundbath.com. 
  3. 3D Soundbath may limit the number of devices on which User can use an account. If User logs in with his account on more than that number of devices, User will be automatically logged out on other devices. User can always use an account on at least two devices.
  4. User shall not create an account through the App by any means other than entering its own data. In particular, User will not use any device, script, bot, spider, crawler or other technique.
  5. You are not permitted to interfere with or disrupt the App or the servers and/or networks connected to the App, such as by viruses, spyware, malware or other destructive or disruptive code. 
  6. During the registration process, the User is requested to provide information. The User warrants to 3D Soundbath and is responsible for ensuring that the information he provides when creating his account is correct, complete and current. If the User’s information is no longer current, complete or correct, for any reason, the User must promptly update his information. The User also agrees that the name and username as well as other public information such as, but not limited to country of origin of the User will be visible to others on the App.
  7. If the User knows or has reason to suspect that his/her login details have come into the hands of unauthorized persons, then it is the User’s own obligation to change his/her login details by means of his/her own login to his/her account.
  8. The User is not allowed to share the account with multiple persons. If the User violates this obligation, 3D Soundbath is allowed to ban the respective User from the App and/or withhold use of the Services offered.
  9. The User is expressly prohibited from assuming another identity, or impersonating someone else when registering, creating an account, and ordering the Services. Apple provides its customers with the ability to share the app with the family. Therefore, this provision does not limit the sharing option offered by Apple.  
  10. 3D Soundbath reserves the right to change the login procedure and/or the User’s login details if it considers it necessary in the interest of the functioning of the App.

Article 7 Cooperation of User

  1. Some Services explicitly allow the User to add content. User shall, to the extent reasonably necessary, cooperate in the performance of the Agreement.
  2. User shall always adhere to all guidelines provided by 3D Soundbath or published on 3D Soundbath’s website for the use of the Services.
  3. If in the context of the service the user uses login data then the user is liable for the use of the Services of 3D Soundbath through his login data.

Article 8 Efforts of 3D Soundbath 

  1. 3d Soundbath will do its best to provide you with a good App 24 (say twenty-four) hours a day and 7 (say seven) days a week. However, 3d Soundbath cannot give you any guarantees:
    1. There can always be (unknown) errors in the software being used. When 3D Soundbath discovers errors or when errors are reported to us, 3D Soundbath will try to solve these as soon as reasonably possible. In doing so, 3D Soundbath will take into account the severity of the error as much as possible. User can report an error by sending an email to info@3dsoundbath.com. 
    2. To use the App, User needs hardware (a tablet, phone, etc.) and an internet connection (to download/view content). 3D Soundbath is not responsible for the equipment User uses nor is it responsible for the availability of internet. 
  1. 3D Soundbath is entitled to temporarily shut down its servers, for example for maintenance of the software or for installing upgrades or updates. As a result, the User cannot download the App and cannot or only to a limited extent use the App. 3D Soundbath will do its utmost to not shut down the App during peak hours. However, 3D Soundbath cannot guarantee that this will always be successful. 
  2. 3D Soundbath reserves the right to modify the App and therefore to change, delete or add certain features, content and functionalities of the App. 
  3. In addition, the App is offered through Google Play Store and the App Store. It is therefore possible that – due to, among other things, but not limited to failures at Google Play Store or App Store – the App is temporarily unavailable. 3D Soundbath cannot be held responsible for this as this is beyond the control of 3D Soundbath. 
  4. 3D Soundbath may terminate your account at any time, without notice to you, in the event 3D Soundbath believes you have violated this Agreement. Following such termination, you will not be entitled to any refund for in-app purchases.
  5. Of any software provided by 3D Soundbath to User, User may automatically download or install upgrades, updates or other new features. User may customize these automatic downloads through the settings of User’s device.

Article 9 Right of withdrawal and exclusion

  1. This Article applies only if there is a Consumer who is not acting in the exercise of a profession or business. 
  2. Consumer has the right to cancel a remotely concluded Agreement within 14 (fourteen) days at no cost and without giving any reason (Right of Withdrawal). 
  3. In the case of the Agreement relating to the provision of Services, the period of the Right of Withdrawal begins to run on the day on which the Agreement is concluded. 
  4. For Consumers, the Agreement can no longer be cancelled in case 3D Soundbath delivers the Services in full within the 14 (fourteen) day cooling-off period. When concluding the Agreement, Consumer grants 3D Soundbath permission to do so and declares to waive the Right of Withdrawal. 
  5. Furthermore, Consumer retains the Right of Withdrawal if the delivery of the Services, at the request of Consumer, takes place partially within the 14 (fourteen) day cooling-off period. However, Consumer is obliged to pay for the Services already delivered.  
  6. Due to the nature of the Service, there may be an exception regarding the right of withdrawal.  Pursuant to Article 6:230p sub g of the Dutch Civil Code, User does not have a right of withdrawal in the delivery of digital content that is not delivered on a tangible carrier, under the condition that 3D Soundbath has started the delivery with User’s express prior consent and User has declared that he thereby waives his right of withdrawal. Consumer therefore has no right of withdrawal upon delivery of the app. 
  7. When purchasing the App, Google Play Store or App Store will therefore indicate which cancellation rules apply to the purchase of the said App. 
  8. As the app can be purchased through the Google Play Store or through the App Store, the revocation rules of those platforms shall apply. Such rules for the Google Play Store the User may consult athttps://play.google.com/intl/nl_nl/about/play-terms/index.html and for the App Store the User may use the following link https://www.apple.com/legal/internet-services/itunes/nl/rightofwithdrawal-nl.pdf.
  9. 3D Soundbath does its utmost to keep the information as up to date as possible. It is important that Google Play Store or the App Store can change the location of the privacy statement. In such a situation, the above links will not work. If this occurs, it is the User’s obligation to consult the correct link.

Article 10 Costs, payment and termination 

  1. Downloading the App is free of charge. If the User actually wishes to use the Services, there is a 7-day trial period during which all Services and functionalities can be tried out.
  2. After this trial period, it is possible to purchase the App for a one-time fee.
  3. The amount the User has to pay will be stated in the currency used in the country from where the User purchases the app.
  4. Payment is made through the payment method offered by Google Play Store or the App Store. Payment is therefore made entirely outside of 3D Soundbath.
  5. The User can cancel any ongoing subscription by logging into their own account on the relevant store (App Store or Google Play Store).
  6. Users who previously had a subscription no longer need to purchase the app and can continue to use the app completely free of charge.
  7. For more information about cancellation the User can consult the website of 3D Soundbath.

Article 11 Delivery 

  1. The User can purchase the app through Google Play Store and the App Store. Delivery is therefore made through the usual means of Google Play Store or the App Store.

Article 12 Liability 

  1. User is responsible for providing correct and representative data and information necessary for the execution of the Agreement. 3D Soundbath is not liable for damages, including those based on an incorrect order, if User has provided incorrect, unrepresentative or irrelevant data. 
  2. The delivery time communicated to the user can only be approximate. Although every effort will be made to meet the delivery time, 3D Soundbath shall never be liable for the consequences of exceeding the stated term. Exceeding the term does not give the User the right to cancel the Agreement, or to refuse the receipt or payment of the Services, nor is 3D Soundbath liable for any compensation towards the User.
  3. 3D Soundbath is not liable for errors or omissions of third parties it engages. By using the Services of 3D Soundbath, User authorizes 3D Soundbath, if a third party engaged by 3D Soundbath wants to limit its liability, to accept that limitation of liability also on behalf of User.
  4. With regard to the provided Services of 3D Soundbath an effort obligation and not a result obligation applies. 3D Soundbath can therefore not be held responsible for any dissatisfaction of the User with the delivered Services.
  5. 3D Soundbath is not liable for indirect damages, including but not limited to:
    1. Consequential damage. Consequential damage is damage that results from other damage. 
    2. Reduced goodwill;
    3. Forfeited profits; 
    4. Missed savings;
    5. Missed opportunities.
  6. 3D Soundbath shall not be liable for, among other things, but not limited to, hearing damage resulting from use of the App. Use of the App is at the User’s own risk.
  7. 3D Soundbath is also not liable for:
    1. Defective operation of computers during the registration process or during the conclusion of a subscription or during the transmission of data and/or for incorrect or too slow transmission of data by the Internet service provider and/or any damage resulting from information provided by User not being received or not being processed in a timely manner by 3D Soundbath, due to technical errors with our software or hardware (whether within or outside of 3D Soundbath’s control). 
    2. Loss or damage resulting from viruses or other malicious software that may infect User’s device, computer equipment, software, data or other property, caused by User accessing, using or downloading the Services, or by transmissions via emails or attachments received from Us; and
    3. Any use of websites linked to the Services but operated by third parties. 
  1. 3D Soundbath is not liable for any errors on the Website. 
  2. 3D Soundbath is not liable for not fulfilling or not fulfilling in a timely manner the obligations, resulting from the Agreement, in case this is caused by force majeure as referred to in Article 13. 
  3. User shall indemnify 3D Soundbath against third party claims, of any nature, related to the Services. 
  4. If 3D Soundbath is held liable, it will only be liable for direct damages actually incurred, paid or suffered by User due to a demonstrable failure of 3D Soundbath’s obligations with respect to its Services. 
  5. The liability of 3D Soundbath is limited to the amount covered and paid by the insurer. If the insurer does not pay out, or if 3D Soundbath is not insured, liability is limited to the amount paid by User. 
  6. The limitation of liability as described in this Article does not apply if there is intent or wilful recklessness on the part of 3D Soundbath. 
  7. This provision does not exclude liability to the extent that liability may not be limited or excluded by law.

Article 13 Force Majeure 

  1. Force majeure means all external causes, beyond the control or action of 3D Soundbath, as a result of which timely, full or proper performance of the Agreement is no longer possible. 
  2. Force majeure as referred to in the previous paragraph of this Article shall include, but not be limited to: non-performance by a third party, illness of 3D Soundbath’s own staff or a third party, abnormal weather conditions, disruptions in water and energy supplies, strikes, serious disruptions in 3D Soundbath’s systems, fire, floods, natural disasters, pandemics, riots, war or other domestic disturbances. 
  3. If there is force majeure resulting in one of the Parties failing to comply with its obligations under the Agreement, the other Party shall be entitled to rescind the Agreement without court intervention.

Article 14 Warranty 

  1. 3D Soundbath has only an obligation of effort and not an obligation of result when providing the Services. An obligation of effort is a contractual obligation to make the necessary efforts or to use certain means to achieve the stipulated result, which means that 3D Soundbath cannot guarantee that the outcomes, results or expectations that User has in mind when providing Services will actually be achieved.
  2. 3D Soundbath provides the Services as is (“as is”). To the extent permitted by law, we exclude all warranties. In particular, 3D Soundbath does not warrant that:
    1. The Service will operate uninterrupted; 
    2. The Service will be free of viruses, defects and/or malfunctions; 
    3. That defects or malfunctions can be remedied (in a timely manner); 
    4. Or not usable in the store or remain available in the store; 
    5. Third parties do not or will not unlawfully use the systems required for the service. 
  1. The User warrants that she will not use the Services:
    1. In such a way as to infringe on the rights of 3D Soundbath or third parties and/or in an otherwise unlawful manner, including IP rights and rights to protect personal privacy;
    2. In violation of applicable laws or regulations; and/or
    3. In violation of any provision of the Agreement.
  2. 3D Soundbath shall not be liable for third party claims, damages and costs arising from and/or related to and/or resulting from User’s breach of the warranty referred to in paragraph 3 of this Article.
  3. The provisions in the General Terms and Conditions regarding guarantees do not affect the User’s guarantee claims pursuant to the law.

Article 15 Confidentiality of data 

  1. Each Party warrants that all information received from the other Party that is known or should be known to be confidential in nature shall remain secret. The Party receiving confidential information shall only use it for the purpose for which it has been provided. Data shall in any case be considered confidential if it has been designated as such by one of the Parties. 3D Soundbath cannot be held to this if the provision of data to a third party is necessary due to a court order, a legal requirement or for the proper execution of the contract.

Article 16 Intellectual property

  1. 3D Soundbath reserves the rights and powers granted to it under the Copyright Act. 
  2. 3D Soundbath grants User a license to use the App through these terms and conditions. The App is therefore not sold or transferred to User. The license is a personal, non-exclusive license to install and use the App as set forth in these Terms.
  3. User obtains the user rights described in these terms and conditions subject to User’s compliance with its obligations under these terms and conditions. Without prejudice to any rights or remedies accruing to 3D Soundbath under the law or these Terms, any failure by User to comply with these User Terms shall entitle 3D Soundbath to refuse further use of and/or access to the App.
  4. The intellectual property rights to all materials that User makes available to 3D Soundbath under the Agreement remain with User.
  5. User grants 3D Soundbath the unrestricted right to use (including but not limited to reproduce, modify or disclose) such materials in the performance of the Agreement whereby 3D Soundbath explicitly obtains a worldwide and perpetual “license not to use” from User to use, host, store, reproduce, modify, create derivative (commercial) works from, communicate, publish, publicly perform, publicly display and distribute such content. 3D Soundbath also has a worldwide and perpetual “license not to use” such content after termination of the Agreement.
  6. All materials (including software and content, whether downloaded or not) in the Services are owned by 3D Soundbath (or our affiliates and/or third party licensors, as applicable), unless otherwise indicated. User agrees and acknowledges that the materials are valuable property and that, except for a specific and limited license to use such materials, User shall not acquire any ownership rights in or to such materials. The materials may not be used except as provided in these terms and conditions and other relevant terms provided to User without our prior written consent.
  7. Audio content from 3D Soundbath that is not explicitly indicated as downloadable may not be downloaded or copied from the Services or any Device.
  8. User may not otherwise download, display, copy, reproduce, distribute, modify, perform, transfer, create derivative works from, sell or otherwise exploit any content, code, data or materials in the Services. If User otherwise uses the Services, or the content, code, data or materials thereon, except as otherwise provided above, User may violate copyright and other laws of the Netherlands, as well as applicable state laws and User may be subject to liability for such unauthorized use. 3D Soundbath will enforce its intellectual property rights to the fullest extent of the law, including seeking criminal prosecution.
  9. 3D Soundbath, the 3D Soundbath logo and all other 3D Soundbath Service or service marks are trademarks of 3D Soundbath. All intellectual property, other trademarks, logos, graphics, product and company names displayed or referenced on or in the Services are the property of their respective owners. Nothing grants User any license or right to use, modify, delete or copy any such material. User’s misuse of the trademarks displayed on the Services is strictly prohibited. 3D Soundbath will enforce its trademark rights to the fullest extent of the law, including seeking criminal prosecution.
  10. The intellectual property rights related to the service, and all results thereof, remain with 3D Soundbath. During the Agreement, 3D Soundbath grants User the non-exclusive and non-transferable right to use the service for the agreed purpose.
  11. User is not allowed to remove or change any indication regarding copyrights, brands, trade names or other intellectual property rights of 3D Soundbath or its licensors.
  12. User is not entitled to transfer its rights or obligations from the Agreement to third parties or to give them in use to third parties, unless 3D Soundbath has given its explicit written consent.
  13. All user rights granted to User by 3D Soundbath under the Agreement will expire by operation of law at the end of the Agreement. 
  14. User guarantees that no rights of third parties oppose the provision of data to 3D Soundbath. User shall indemnify 3D Soundbath against any action based on the allegation that such provision, use, processing, installation or incorporation infringes any right of a third party.

Article 17 Complaints procedure

  1. If User has a complaint, User should send this in writing to info@3dsoundbath.com. The complaint will, if reasonably possible, be processed 14 (in words: fourteen) days after receipt of the complaint by 3D Soundbath, after which User will receive a substantive response as soon as possible.
  2. User also has the option to submit a complaint to the Dispute Resolution Committee through the European ODR Platform, found on the website http://ec.europa.eu/consumers/odr/.

Article 18 Amendment clause

  1. 3D Soundbath reserves the right to modify or supplement these Terms and Conditions at any time. 3D Soundbath will inform the User about this in a timely manner. 
  2. The amended General Terms and Conditions shall apply to the Agreement one month after their announcement to User.
  3. User who is not acting for purposes related to his business or professional activity, has the option to dissolve the Agreement until no later than the day the amended General Terms and Conditions come into effect if the changes result in 3D Soundbath being able to provide Services that are substantially different from what Parties agreed upon at the conclusion of the Agreement.

Article 19 Applicable law and competent court 

  1. The legal relationship(s) between 3D Soundbath and its User shall be governed by Dutch law. 
  2. All disputes that may arise between 3D Soundbath and Consumer will be submitted to the competent court in the district where User has his or her residence.
  3. All disputes that may arise between 3D Soundbath and the User being a business customer, will be submitted to the North Holland Court in Haarlem.

Algemene voorwaarden 3D Soundbath

Artikel 1 Definities 

  1. 3D Soundbath is onderdeel van en wordt beheerd door Sandrasana. Sandrasana is gevestigd te Heemstede aan de Kadijk 4 (2104 AA), staat ingeschreven in het handelsregister van de Kamer van Koophandel onder 62755994 en draagt het btw-identificatienummer NL002084133B57. 3D Soundbath stelt zich ten doel het aanbieden van een app die middels 3D audio de gebruiker ondersteunt.  
  2. In deze Algemene voorwaarden wordt onder ‘Algemene voorwaarden’ verstaan: de onderhavige Algemene voorwaarden.
  3. In deze Algemene voorwaarden wordt onder ‘Gebruiker’ verstaan: de natuurlijke persoon die niet handelt voor doeleinden die verband houden met zijn bedrijfs- of beroepsactiviteit (hierna: ‘Consument’) of de natuurlijke persoon of rechtspersoon die handelt in de uitoefening van zijn bedrijfs- of beroepsactiviteit (hierna: zakelijke klant) en gebruik maakt van de Diensten van 3D Soundbath.
  4. In deze Algemene voorwaarden wordt onder ‘Partijen’, en ieder afzonderlijk als ‘Partij’, verstaan: 3D Soundbath en/of Gebruiker.

In deze Algemene voorwaarden wordt onder ‘Overeenkomst’ verstaan: de tussen 3D Soundbath en Gebruiker gesloten Overeenkomst, al dan niet gesloten in het kader van een georganiseerd systeem voor verkoop of dienstverlening op afstand waarbij tot het moment van sluiten van de Overeenkomst uitsluitend gebruik wordt gemaakt van een of meer middelen voor communicatie op afstand, waarbij 3D Soundbath zich jegens Gebruiker verbindt Diensten te verrichten en Gebruiker zich verbindt hiervoor een prijs te betalen. De Overeenkomst komt tot stand door een aanbod van 3D Soundbath en de aanvaarding daarvan door Gebruiker, hetgeen nader wordt gespecificeerd in Artikel 4.4 van deze Algemene voorwaarden.  
  6. In deze Algemene voorwaarden wordt onder ‘App’ verstaan: de app 3D Soundbath. 
  7. In deze Algemene voorwaarden wordt onder ‘Diensten’ verstaan: alle door 3D Soundbath en/of door haar ingeschakelde derden aan Gebruiker geleverde Diensten, onder andere inhoudende het aanbieden van een app die middels 3D audio de gebruiker ondersteunt alsmede alle andere door 3D Soundbath ten behoeve van Gebruiker verrichte werkzaamheden, van welke aard ook, verricht in het kader van een opdracht, waaronder begrepen werkzaamheden die niet op uitdrukkelijk verzoek van Gebruiker worden verricht. 
  8. In deze Algemene voorwaarden wordt onder ‘Website’ verstaan: de Website van 3D Soundbath, te raadplegen via https://3dsoundbath.com/. 

Artikel 2 Identiteit van 3D Soundbath

  1. 3D Soundbath is onderdeel van en wordt beheerd door Sandrasana. Sandrasana is gevestigd te Heemstede aan de Kadijk 4 (2104 AA), staat ingeschreven in het handelsregister van de Kamer van Koophandel onder 62755994 en draagt het btw-identificatienummer NL002084133B57.
  2. 3D Soundbath is per e-mail te bereiken via info@3dsoundbath.com of middels de Website https://3dsoundbath.com/. 

Artikel 3 Toepasselijkheid van de Algemene voorwaarden 

  1. De Algemene voorwaarden zijn van toepassing op ieder aanbod van 3D Soundbath en op alle huidige en toekomstige Overeenkomsten, leveringen, commerciële relaties en overige rechtsverhoudingen tussen Partijen. De Algemene voorwaarden van Gebruiker worden uitdrukkelijk van de hand gewezen.
  2. Afwijkingen van de Algemene voorwaarden zijn slechts geldig indien uitdrukkelijk en schriftelijk met 3D Soundbath overeengekomen. 
  3. Toepasselijkheid van inkoop- of andere voorwaarden van Gebruiker worden uitdrukkelijk van de hand gewezen, tenzij uitdrukkelijk en schriftelijk anders overeengekomen. 
  4. De Algemene voorwaarden zijn ook van toepassing op aanvullende of gewijzigde opdrachten van Gebruiker. 
  5. Indien blijkt dat een bepaling of meerdere bepalingen in deze Algemene voorwaarden nietig zijn, wordt de geldigheid van de overige bepalingen van deze Algemene voorwaarden alsmede de gehele Overeenkomst niet aangetast. Partijen zullen zich in een dergelijk geval inspannen de nietige bepaling te vervangen voor een nieuwe, geldige bepaling die zo dicht mogelijk de ongeldige bepaling benadert binnen de strekking van de oorspronkelijke Algemene voorwaarden.

Artikel 4 Aanbod en totstandkoming Overeenkomst 

  1. Alle aanbiedingen op de Website zijn geheel vrijblijvend, tenzij uitdrukkelijk anders aangegeven. 
  2. Gebruiker kan contact opnemen met 3D Soundbath via de Website of via email voor een van de aangeboden Diensten.
  3. 3D Soundbath kan met Gebruiker overleggen omtrent zijn verwachtingen. 
  4. De Gebruiker kan middels de Google Play Store dan wel middels de App Store de bedoelde app aanschaffen. Zodra de Gebruiker dan ook de bijbehorende online (betaal)procedure volledig en succesvol heeft afgerond, komt de Overeenkomst tot stand. 
  5. Als 3D Soundbath een bevestiging naar Gebruiker stuurt, geeft die bevestiging richting aan de inhoud en uitleg van de Overeenkomst, onder voorbehoud van kennelijke verschrijvingen. 3D Soundbath kan niet aan zijn aanbod worden gehouden indien Gebruiker redelijkerwijs kan begrijpen dat het aanbod, dan wel een onderdeel daarvan, een kennelijke vergissing of verschrijving bevat. 

Artikel 5 Uitvoering van de Overeenkomst 

  1. 3D Soundbath zal zich inspannen de Diensten naar beste inzicht en vermogen en overeenkomstig de eisen van goed vakmanschap, alsmede zoveel mogelijk overeenkomstig de schriftelijk vastgelegde afspraken, uit te voeren.  
  2. 3D Soundbath heeft het recht bepaalde werkzaamheden te laten verrichten door derden. 
  3. Bij het inschakelen van derden zal 3D Soundbath de nodige zorgvuldigheid in acht nemen. 
  4. De Overeenkomst kan alleen door 3D Soundbath worden uitgevoerd indien Gebruiker volledige en correcte (contact)gegevens verstrekt. Gebruiker draagt er derhalve zorg voor dat alle gegevens, waarvan 3D Soundbath aangeeft dat deze noodzakelijk zijn of waarvan Gebruiker redelijkerwijs behoort te begrijpen dat deze noodzakelijk zijn voor het uitvoeren van de Overeenkomst, tijdig aan 3D Soundbath worden verstrekt.    
  5. Indien voor de uitvoering van Diensten een termijn is overeengekomen of opgegeven, dan is dit nimmer een fatale termijn. Bij overschrijding van een termijn dient Gebruiker 3D Soundbath hiervan schriftelijk in gebreke te stellen. 3D Soundbath dient daarbij een redelijke termijn te worden geboden om alsnog uitvoering te geven aan de Overeenkomst. 
  6. 3D Soundbath is te allen tijde gerechtigd een Gebruiker of diens materiaal op de diensten te weigeren, zonder dat hierdoor enig recht van Gebruiker op schadevergoeding jegens 3D Soundbath ontstaat. 3D Soundbath is daarbij niet verplicht haar redenen in dit verband te vermelden.
  7. 3D Soundbath kan niet garanderen dat er geen storingen optreden. 3D Soundbath doet haar uiterste best om de storingen met inachtneming te verhelpen.
  8. 3D Soundbath is gerechtigd de dienst buiten gebruik te stellen om de dienst bijvoorbeeld te verbeteren en aan te passen aan de actuele stand van de techniek en de ontwikkelingen in de markt, zonder dat Gebruiker enig recht op schadevergoeding of ontbinding toekomt.
  9. 3D Soundbath heeft het recht de eisen en (technische) specificaties tijdens de duur van de overeenkomst te wijzigen, mede ingegeven door het feit dat de online mogelijkheden sterk worden beïnvloed door de technologische voortgang op het gebied van software, data en infrastructuur ten behoeve van de verspreiding van de content.

Artikel 6 Installatie van de app 

  1. 3D Soundbath gaat ervan uit dat de Gebruiker bij de installatie van de App gebruik maakt van: 
    1. Apparatuur waarvan Gebruiker het recht heeft om daarop software te kunnen plaatsen; en
    2. Een account waarvan Gebruiker alle noodzakelijk accountgegevens beheert (of, als Gebruiker 15 jaar of jonger is, toestemming heeft van de ouders of voogd van Gebruiker).
  2. Gebruiker mag de App alleen zelf gebruiken en niemand anders door middel van het account van Gebruiker gebruik laten maken van de App. 
  3. Gebruiker is er zelf verantwoordelijk voor dat de gebruikersnamen en wachtwoorden geheim blijven. 3D Soundbath is niet aansprakelijk voor misbruik van gebruikersnamen, wachtwoorden of andere middelen waarmee Gebruiker kan worden geïdentificeerd wanneer Gebruiker gebruik maakt van de App. 3D Soundbath mag er dus vanuit gaan dat Gebruiker de daadwerkelijke Gebruiker is die zich aanmeldt met een van de bijbehorende identificatiemiddelen en de gevolgen zijn ook voor eigen rekening. Zodra Gebruiker het vermoeden heeft dat er misbruik wordt gemaakt van een van de identificatiemiddelen van Gebruiker, dient Gebruiker dat onmiddellijk te melden aan 3D Soundbath via de email info@3dsoundbath.com. 
  4. 3D Soundbath kan het aantal apparaten waarop Gebruiker een account kan gebruiken, beperken. Indien Gebruiker met zijn account inlogt op meer dan dat aantal apparaten, dan zal Gebruiker op andere apparaten automatisch worden uitgelogd. Gebruiker kan een account altijd op tenminste twee apparaten gebruiken.
  5. Gebruiker zal via de App niet op andere wijze een account aanmaken dan door eigen gegevens in te vullen. Gebruiker zal met name geen apparaat, script, bot, spider, crawler of andere techniek gebruiken.
  6. Het is niet toegestaan om de App of de servers en/of netwerken die zijn verbonden met de App te belemmeren of te verstoren, zoals bijvoorbeeld door virussen, spyware, malware of andere destructieve of ontwrichtende code. 
  7. Tijdens het registratieproces wordt de Gebruiker verzocht informatie te verstrekken. De Gebruiker staat er jegens 3D Soundbath voor in en is er zelf verantwoordelijk voor dat de informatie die hij bij het aanmaken van zijn account verstrekt correct, volledig en actueel is. Wanneer de gegevens van de Gebruiker niet meer actueel, volledig of correct zijn, om welke reden dan ook, dient de Gebruiker zijn gegevens onverwijld aan te passen. Tevens gaat de Gebruiker ermee akkoord dat de naam en gebruikersnaam alsmede overige publieke informatie zoals, maar niet beperkt tot land van afkomst van de Gebruiker op de App zichtbaar zal zijn voor anderen.
  8. Indien de Gebruiker weet of reden heeft te vermoeden dat zijn/haar inloggegevens in handen zijn gekomen van onbevoegden, dan is het de eigen verplichting van de Gebruiker om zijn/haar inloggegevens aan te passen middels eigen inlog op zijn/haar account.
  9. Het is voor de Gebruiker niet toegestaan het account te delen met meerdere personen. Indien de Gebruiker deze verplichting schendt, is het 3D Soundbath toegestaan de betreffende Gebruiker te bannen van de App en/of onthouden gebruik te maken van de aangeboden Diensten.
  10. Het is de Gebruiker uitdrukkelijk niet toegestaan een andere identiteit aan te nemen, of zich voor te doen als iemand anders bij het registreren, het aanmaken van een account, en het bestellen van de Diensten. Apple biedt haar klanten de mogelijkheid om de app te delen met het gezin. Deze bepaling beperkt dan ook niet de mogelijkheid tot deling aangeboden door Apple.  
  11. 3D Soundbath behoudt zich het recht voor de inlogprocedure en/of de inloggegevens van de Gebruiker te veranderen indien zij dit noodzakelijk acht in het belang van het functioneren van de App. 

Artikel 7 Medewerking van Gebruiker

  1. Sommige Diensten staan de Gebruiker expliciet toe inhoud toe te voegen. Gebruiker zal, voor zover dat redelijkerwijs noodzakelijk is, zijn medewerking verlenen aan het uitvoeren van de Overeenkomst.
  2. Gebruiker zal zich steeds houden aan alle door 3D Soundbath verstrekte of op de website van 3D Soundbath bekendgemaakte richtlijnen voor het gebruik van de Diensten.
  3. Als in het kader van de dienst door de gebruiker gebruik wordt gemaakt van inloggegevens dan is de gebruiker aansprakelijk voor het gebruik van de Diensten van 3D Soundbath via zijn inloggegevens.

Artikel 8 Inspanningen van 3D Soundbath 

  1. 3D Soundbath zal haar best doen om je 24 (zegge: vierentwintig) uur per dag en 7 (zegge: zeven) dagen per week een goede App aan te bieden. 3d Soundbath kan je echter geen garanties geven: 
    1. Er kunnen altijd (onbekende) fouten in de software zitten die wordt gebruikt. Als 3D Soundbath fouten ontdekt hebben of zodra fouten aan ons gemeld worden, zal 3D Soundbath proberen om deze zo snel als redelijkerwijs mogelijk is te verhelpen. 3D Soundbath houdt daarbij zoveel mogelijk rekening met de ernst va de fout. Gebruiker kan een foutmelding doen door een email te verzenden naar info@3dsoundbath.com. 
    2. Om de App te kunnen gebruiken heeft Gebruiker hardware (een tablet, telefoon, etc.) nodig en een internetverbinding (om content te downloaden/te zien). 3D Soundbath is niet verantwoordelijk voor de apparatuur die Gebruiker gebruikt en ook niet verantwoordelijk voor de beschikbaarheid van internet. 
  2. 3D Soundbath is gerechtigd haar servers tijdelijk uit te zetten, bijvoorbeeld voor onderhoud aan de software of voor het installeren van upgrades of updates. Daardoor kan Gebruiker dan de App niet downloaden en niet of maar beperkt gebruiken. 3D Soundbath zal haar uiterste best doen om de App niet tijdens piekuren stil te zetten. 3D Soundbath kan echter niet garanderen dat dat altijd zal lukken. 
  3. 3D Soundbath behoudt zich het recht voor om de App te wijzigen en dus ook om bepaalde eigenschappen, inhoud en functionaliteiten van de App te wijzigen, te verwijderen of toe te voegen. 
  4. Daarnaast wordt de App aangeboden door middel van Google Play Store en de App Store. Het kan dus voorkomen dat – wegens onder andere, maar niet beperkt tot storingen bij Google Play Store dan wel App Store – de App tijdelijk niet beschikbaar is. 3D Soundbath kan hier niet verantwoordelijk voor worden gehouden nu dit buiten de controle van 3D Soundbath is. 
  5. 3D Soundbath kan te allen tijde, zonder kennisgeving aan u, uw account opheffen ingeval 3D Soundbath van mening is dat u deze Overeenkomst hebt geschonden. Na een dergelijke beëindiging hebt u geen recht op enige restitutie voor in-app aankopen.
  6. Van enige software die 3D Soundbath aan Gebruiker verstrekt mag Gebruiker upgrades, updates of andere nieuwe functies automatisch downloaden of installeren. Gebruiker kan deze automatische downloads door de instellingen van Gebruikers apparaat aanpassen.

Artikel 9 Herroepingsrecht en uitsluiting

  1. Dit Artikel is enkel van toepassing indien er sprake is van een Consument die niet handelt in de uitoefening van een beroep of bedrijf. 
  2. Consument heeft het recht om een op afstand gesloten Overeenkomst binnen 14 (veertien) dagen kosteloos en zonder opgave van reden te annuleren (Herroepingsrecht). 
  3. Bij de Overeenkomst met betrekking tot het leveren van Diensten begint de termijn van het Herroepingsrecht te lopen op de dag waarop de Overeenkomst wordt gesloten. 
  4. Voor Consument geldt dat de Overeenkomst niet meer kan worden geannuleerd ingeval Soundbath de Diensten volledig levert binnen de 14 (veertien) dagen bedenktijd. Bij het afsluiten van de Overeenkomst verleent Consument hiervoor toestemming aan 3D Soundbath en verklaart hij afstand te doen van het Herroepingsrecht. 
  5. Voorts geldt dat Consument het Herroepingsrecht behoudt indien de levering van de Diensten, op verzoek van Consument, gedeeltelijk geschiedt binnen de 14 (veertien) dagen bedenktijd. Wel is Consument gehouden te betalen voor de reeds geleverde Diensten.  
  6. Wegens de aard van de Dienst, kan er sprake zijn van een uitzondering ten aanzien van het herroepingsrecht.  Op grond van artikel 6:230p sub g van het Burgerlijk Wetboek heeft Gebruiker geen herroepingsrecht bij de levering van digitale inhoud die niet op een materiële drager wordt geleverd, onder de voorwaarde dat 3D Soundbath met uitdrukkelijke voorafgaande toestemming van Gebruiker is begonnen met de levering en Gebruiker heeft verklaard dat hij daarmee afstand doet van zijn herroepingsrecht. Consument heeft derhalve geen herroepingsrecht bij levering van de app. 
  7. Bij het aanschaffen van de App zal dan ook door Google Play Store dan wel App Store worden aangegeven welke herroepingsregels gelden bij aanschaffing van de bedoelde App. 
  8. Daar de app middels de Google Play Store dan wel via de App Store kan worden aangeschaft, gelden de herroepingsregels van die platformen. Dergelijke regels voor de Google Play Store kan de Gebruiker raadplegen via https://play.google.com/intl/nl_nl/about/play-terms/index.html en voor de App Store kan de Gebruiker gebruik maken van de volgende link https://www.apple.com/legal/internet-services/itunes/nl/rightofwithdrawal-nl.pdf.
  9. 3D Soundbath doet haar uiterste best om de informatie zo goed mogelijk up to date te houden. Hierbij is het van belang dat Google Play Store dan wel de App Store de locatie van de privacyverklaring kunnen aanpassen. In een dergelijke situatie zullen de bovenstaande links niet werken. Indien zich dit voordoet, dan is het de verplichting van de Gebruiker om zelf de juiste link te raadplegen. 

Artikel 10 Kosten, honorering betaling en opzegging 

  1. Het downloaden van de App is gratis. Indien de Gebruiker daadwerkelijk gebruik wenst te maken van de Diensten, dan geldt er een proefperiode van 7 dagen, waarbij alle Diensten en functionaliteiten uit te proberen zijn. Na deze proefperiode is het mogelijk om de app aan te schaffen voor een eenmalig bedrag.
  2. Het bedrag dat de Gebruiker dient te betalen zal worden vermeld in de valuta dat wordt gebruikt in het land vanuit waar de Gebruiker de app aanschaft. 
  3. Betaling geschiedt middels de door Google Play Store dan wel de App Store aangeboden betalingsmethode. Betaling verloopt dan ook geheel buiten 3D Soundbath om. 
  1. De Gebruiker kan het abonnement dat eventueel nog loopt opzeggen middels inlog op eigen account van de desbetreffende store (App Store dan wel de Google Play Store). 
  2. Gebruikers die voorheen een abonnement hadden, hoeven de app niet meer aan te schaffen en kunnen geheel kosteloos de app blijven gebruiken.
  3. Voor meer informatie over opzegging kan de Gebruiker de website van 3D Soundbath raadplegen. 

Artikel 11 Levering 

  1. De Gebruiker kan de app aanschaffen middels Google Play Store en de App Store. Levering geschiedt dan ook via de gebruikelijke wijze van Google Play Store dan wel de App Store. 

Artikel 12 Aansprakelijkheid 

  1. Gebruiker is verantwoordelijk voor het aandragen van correcte en representatieve gegevens en informatie die nodig zijn voor het uitvoeren van de Overeenkomst. 3D Soundbath is niet aansprakelijk voor schade, onder anderen op basis van een verkeerde bestelling, indien Gebruiker onjuiste, niet-representatieve of irrelevante gegevens heeft verstrekt. 
  2. De aan Gebruiker gecommuniceerde levertermijn kan slechts bij benadering worden opgegeven. Ofschoon steeds getracht zal worden de levertermijn na te komen, is 3D Soundbath nimmer aansprakelijk voor de gevolgen van overschrijding van de aldaar genoemde termijn. Overschrijding van de termijn geeft Gebruiker geen recht de Overeenkomst te annuleren, of de ontvangst of betaling van de Diensten te weigeren, noch is 3D Soundbath enige vergoeding verschuldigd jegens Gebruiker.
  3. 3D Soundbath is niet aansprakelijk voor fouten of nalatigheden van door haar ingeschakelde derden. Door gebruik te maken van de Diensten van 3D Soundbath, verleent Gebruiker de bevoegdheid aan 3D Soundbath om, als een door 3D Soundbath ingeschakelde derde zijn aansprakelijkheid wil beperken, die aansprakelijkheidsbeperking mede namens Gebruiker te aanvaarden.
  4. Ten aanzien van de verleende Diensten van 3D Soundbath geldt een inspanningsverplichting en geen resultaatsverplichting. 3D Soundbath kan derhalve niet aansprakelijk worden gesteld omtrent ontevredenheid van Gebruiker over de geleverde Diensten.
  5. 3D Soundbath is niet aansprakelijk voor indirecte schade, waaronder maar niet uitsluitend begrepen:
    1. Gevolgschade. Gevolgschade is schade die het gevolg is van andere schade. 
    2. Verminderde goodwill;
    3. Gederfde winst; 
    4. Gemiste besparing;
    5. Gemiste kansen.
  6. 3D Soundbath is niet aansprakelijk voor onder andere, maar niet beperkt tot gehoorschade door gebruik van de App. Het gebruik van de App is op eigen risico van de Gebruiker.
  7. 3D Soundbath is eveneens niet aansprakelijk voor:
    1. Defecte werking van computers tijdens het registratieproces of tijdens het afsluiten van een abonnement of tijdens het verzenden van gegevens en/of voor onjuiste of te trage verzending van gegevens door de internetprovider en/of enige schade die ontstaat door verstrekte informatie doordat Gebruiker niet of niet tijdig door 3D Soundbath wordt ontvangen of niet in behandeling wordt genomen, als gevolg van technische fouten met onze software of hardware (al dan niet binnen of buiten controle van 3D Soundbath). 
    2. Verlies of schade als gevolg van virussen of andere kwaadaardige software die Gebruikers apparaat, computerapparatuur, software, gegevens of andere eigendommen kunnen infecteren, veroorzaakt doordat Gebruiker de Diensten opent, gebruikt of downloadt, of door verzendingen via e-mails of bijlagen ontvangen van ons; en
    3. Elk gebruik van websites die aan de Diensten zijn gekoppeld maar door derden worden beheerd. 
  8. 3D Soundbath is niet aansprakelijk voor eventuele verschrijvingen op de Website. 
  9. 3D Soundbath is niet aansprakelijk voor het niet of niet tijdig voldoen aan de verplichtingen, voortvloeiend uit de Overeenkomst, in geval dit veroorzaakt wordt door overmacht als bedoeld in Artikel 13. 
  10. Gebruiker vrijwaart 3D Soundbath voor aanspraken van derden, van welke aard ook, die verband houden met de Diensten. 
  11. Indien 3D Soundbath aansprakelijk wordt gehouden, zal zij uitsluitend aansprakelijk zijn voor directe schade die daadwerkelijk door Gebruiker is opgelopen, betaald of geleden is vanwege een aantoonbaar tekortschieten van de verplichtingen van 3D Soundbath met betrekking tot haar Diensten. 
  12. De aansprakelijkheid van 3D Soundbath is beperkt tot het door de verzekeraar gedekte en uitgekeerde bedrag. Indien de verzekeraar niet tot uitkering overgaat, dan wel indien 3D Soundbath niet is verzekerd, is de aansprakelijkheid beperkt tot het door Gebruiker betaalde bedrag. 
  13. De beperking van de aansprakelijkheid zoals beschreven in dit Artikel geldt niet indien sprake is van opzet of bewuste roekeloosheid aan de zijde van 3D Soundbath. 
  14. Deze bepaling sluit geen aansprakelijkheid uit voor zover aansprakelijkheid bij wet niet mag worden beperkt of uitgesloten.

Artikel 13 Overmacht 

  1. Onder overmacht wordt verstaan, alle van buiten komende oorzaken, buiten wil of toedoen van 3D Soundbath, waardoor tijdige, volledige of juiste nakoming van de Overeenkomst niet meer mogelijk is. 
  2. Onder overmacht zoals in het vorige lid van dit Artikel bedoeld, wordt mede verstaan, maar is niet beperkt tot: niet-nakoming van een derde, ziekte van personeel van 3D Soundbath zelf of een derde, abnormale weersomstandigheden, storingen in water- en energieleveringen, stakingen, ernstige storingen in de systemen van 3D Soundbath, brand, overstromingen, natuurrampen, pandemieën, rellen, oorlog of anderszins binnenlandse onrusten. 
  3. Indien sprake is van overmacht met als gevolg dat één der Partijen tekortschiet in de nakoming van haar verbintenissen uit de Overeenkomst, is de andere Partij gerechtigd de Overeenkomst zonder tussenkomst van de rechter te ontbinden. 

Artikel 14 Garantie 

  1. 3D Soundbath heeft bij de levering van de Diensten slechts een inspanningsverplichting en geen resultaatsverplichting. Een inspanningsverplichting is een contractuele verplichting om de nodige inspanningen te leveren of om bepaalde middelen aan te wenden om het bedongen resultaat te bereiken, hetgeen betekent dat 3D Soundbath niet kan garanderen dat de uitkomsten, resultaten of de verwachtingen die Gebruiker bij de levering van Diensten voor ogen heeft ook daadwerkelijk worden behaald.
  2. 3D Soundbath levert de Diensten als zodanig (” as is”). Voor zover wettelijk toegestaan, sluiten we alle garanties uit. Met name garandeert 3D Soundbath níét dat: 
    1. De Dienst ononderbroken zal werken; 
    2. De Dienst vrij zal zijn van virussen, gebreken en/of storingen; 
    3. Dat gebreken of storingen (tijdig) kunnen worden verholpen; 
    4. Of niet bruikbaar is in de store dan wel beschikbaar blijft in de store; 
    5. Derden niet de voor de dienst benodigde systemen onrechtmatig (zullen) gebruiken. 
  3. De Gebruiker garandeert dat zij de Diensten niet zal gebruiken:
    1. Op zodanige wijze dat inbreuk wordt gemaakt op de rechten van 3D Soundbath of van derden en/of op een anders onrechtmatige wijze, met inbegrip van IE-rechten en rechten ter bescherming van de persoonlijke levenssfeer;
    2. In strijd met geldende wet- of regelgeving; en/of
    3. In strijd met een bepaling van de Overeenkomst.
  4. 3D Soundbath is niet aansprakelijk voor aanspraken van derde partijen, schade en kosten die voortvloeien uit en/of verband houden met en/of het gevolg zijn van een schending van de in lid 3 van dit Artikel genoemde garantie door de Gebruiker.
  5. Het in de Algemene voorwaarden bepaalde ter zake van garantie, laat onverlet de garantieaanspraken van Gebruiker uit hoofde van de wet.

Artikel 15 Vertrouwelijkheid van gegevens 

  1. Elk der Partijen garandeert dat alle van de andere Partij ontvangen gegevens waarvan men weet of dient te weten dat deze van vertrouwelijke aard zijn, geheim blijven. De Partij die vertrouwelijke gegevens ontvangt, zal deze slechts gebruiken voor het doel waarvoor deze verstrekt zijn. Gegevens worden in ieder geval als vertrouwelijk beschouwd indien deze door een der Partijen als zodanig zijn aangeduid. 3D Soundbath kan hieraan niet worden gehouden indien de verstrekking van gegevens aan een derde noodzakelijk is ingevolge een rechterlijke uitspraak, een wettelijk voorschrift of voor correcte uitvoering van de overeenkomst.

Artikel 16 Intellectuele eigendom

  1. 3D Soundbath behoudt zich de rechten en bevoegdheden toe die hem toekomen op grond van de Auteurswet. 
  2. 3D Soundbath verleent aan Gebruiker door middel van deze voorwaarden een licentie om de App te gebruiken. De App wordt dus niet aan Gebruiker verkocht of overgedragen. De licentie betreft een persoonlijke, niet-exclusieve licentie om de App te installeren en te gebruiken zoals uiteengezet in deze voorwaarden.
  3. Gebruiker verkrijgt de gebruiksrechten zoals beschreven in deze voorwaarden onder de voorwaarde dat Gebruiker zijn verplichtingen uit deze voorwaarden nakomt. Zonder dat daarmee afbreuk wordt gedaan aan eventuele rechten of rechtsmiddelen die aan 3D Soundbath toekomen op grond van de wet of deze voorwaarden, geeft elke tekortkoming in de nakoming van deze gebruikersvoorwaarden door Gebruiker aan 3D Soundbath het recht om verder gebruik van en/of de toegang tot de App te weigeren.
  4. De intellectuele eigendomsrechten op alle materialen die Gebruiker in het kader van de Overeenkomst aan 3D Soundbath ter beschikking stelt, blijven berusten bij de Gebruiker.
  5. Gebruiker verleent 3D Soundbath het onbeperkte recht deze materialen in het kader van de uitvoering van de Overeenkomst te gebruiken (hieronder wordt mede doch niet uitsluitend verstaan te verveelvoudigen, te wijzigen of openbaar te maken) waarbij 3D Soundbath expliciet een wereldwijde en eeuwige “licentie om niet” van de Gebruiker verkrijgt om dergelijke inhoud te gebruiken, te hosten, op te slaan, te reproduceren, aan te passen, er afgeleide (commerciële) werken van te maken, te communiceren, te publiceren, openbaar uit te voeren, openbaar weer te geven en te distribueren. 3D Soundbath heeft ook na terminatie van de Overeenkomst een wereldwijde en eeuwige “licentie om niet” om dergelijke inhoud vrijblijvende aan te wenden.
  6. Alle materialen (inclusief software en inhoud, al dan niet gedownload) in de Diensten zijn eigendom van 3D Soundbath (of onze gelieerde ondernemingen en/of externe licentiegevers, indien van toepassing), tenzij anders aangegeven. Gebruiker stemt ermee in en erkent dat de materialen waardevol eigendom zijn en dat Gebruiker, afgezien van een specifieke en beperkte licentie voor het gebruik van dergelijke materialen, geen eigendomsrechten op of op dergelijke materialen zal verwerven. De materialen mogen niet worden gebruikt, behalve zoals bepaald in deze voorwaarden en andere relevante voorwaarden die aan Gebruiker zijn verstrekt zonder onze voorafgaande schriftelijke toestemming.
  7. Audio inhoud van 3D Soundbath die niet expliciet is aangegeven als downloadbaar, mag niet worden gedownload of gekopieerd van de Diensten of enig apparaat.
  8. Gebruiker mag op geen enkele andere manier inhoud, code, gegevens of materialen in de Diensten downloaden, weergeven, kopiëren, reproduceren, distribueren, wijzigen, uitvoeren, overdragen, afgeleide werken maken van, verkopen of anderszins exploiteren. Als Gebruiker op een andere manier gebruik maakt van de Diensten, of de inhoud, code, gegevens of materialen daarop, tenzij hierboven anders bepaald, kan Gebruiker het auteursrecht en andere wetten van het Nederlandse recht, evenals toepasselijke staatswetten schenden en kan Gebruiker onderworpen aan aansprakelijkheid voor dergelijk ongeoorloofd gebruik. 3D Soundbath zal haar intellectuele eigendomsrechten afdwingen in de ruimste zin van de wet, inclusief het zoeken naar strafrechtelijke vervolging.
  9. 3D Soundbath, het 3D Soundbath -logo en alle andere 3D Soundbath -Dienst- of servicemerken zijn handelsmerken van 3D Soundbath. Alle intellectuele eigendom, andere handelsmerken, logo’s, afbeeldingen, product- en bedrijfsnamen die worden weergegeven of waarnaar wordt verwezen op of in de Diensten, zijn eigendom van hun respectievelijke eigenaren. Niets verleent Gebruiker een licentie of recht om dergelijk materiaal te gebruiken, te wijzigen, te verwijderen of te kopiëren. Gebruikers misbruik van de handelsmerken die op de Diensten worden weergegeven, is ten strengste verboden. 3D Soundbath zal haar handelsmerkrechten in de ruimste zin van de wet afdwingen, inclusief het zoeken naar strafrechtelijke vervolging.
  10. De intellectuele eigendomsrechten met betrekking tot de dienst, en alle resultaten daarvan, blijven berusten bij 3D Soundbath. Gedurende de Overeenkomst verleent 3D Soundbath aan Gebruiker het niet-exclusieve en niet-overdraagbare recht om de dienst voor het overeengekomen doel te gebruiken.
  11. Het is Gebruiker niet toegestaan enige aanduiding omtrent auteursrechten, merken, handelsnamen of andere rechten van intellectuele eigendom van 3D Soundbath of haar licentiegevers te verwijderen of te wijzigen.
  12. Gebruiker is niet gerechtigd haar rechten of verplichtingen uit de Overeenkomst over te dragen aan derden of aan derden in gebruik te geven, tenzij 3D Soundbath hiervoor uitdrukkelijk schriftelijk toestemming heeft verleend.
  13. Alle door 3D Soundbath uit hoofde van de Overeenkomst verstrekte gebruiksrechten aan Gebruiker vervallen bij het einde van de Overeenkomst van rechtswege. 
  14. Gebruiker garandeert dat geen rechten van derden zich verzetten tegen beschikbaarstelling aan 3D Soundbath van gegevens. Gebruiker zal 3D Soundbath vrijwaren tegen elke actie die gebaseerd is op de bewering dat zodanig beschikbaar stellen, gebruiken, bewerken, installeren of incorporeren inbreuk maakt op enig recht van derden. 

Artikel 17 Klachtenregeling

  1. Indien Gebruiker een klacht heeft, dient Gebruiker dit schriftelijk te zenden aan info@3dsoundbath.com. De klacht wordt, indien redelijkerwijs mogelijk, 14 (zegge: veertien) dagen na ontvangst van de klacht door 3D Soundbath in behandeling genomen, waarna Gebruiker zo snel mogelijk een inhoudelijke reactie ontvangt.
  2. Gebruiker heeft ook de mogelijkheid om een klacht voor te leggen aan de Geschillencommissie via het Europees ODR Platform, te vinden op de website http://ec.europa.eu/consumers/odr/.  

Artikel 18 Wijzigingsbeding

  1. 3D Soundbath behoudt zich het recht voor deze Algemene voorwaarden te allen tijde te wijzigen dan wel aan te vullen. 3D Soundbath zal Gebruiker hiervan tijdig op de hoogte brengen. 
  2. De gewijzigde Algemene voorwaarden zijn één maand na bekendmaking aan Gebruiker van toepassing op de Overeenkomst.
  3. Gebruiker die niet handelt voor doeleinden die verband houden met zijn bedrijfs- of beroepsactiviteit, heeft de mogelijkheid om de Overeenkomst te ontbinden tot uiterlijk op de dag van inwerkingtreding van de gewijzigde Algemene voorwaarden indien de wijzigingen tot gevolg hebben dat 3D Soundbath Diensten kan leveren die wezenlijk anders zijn dan Partijen bij het sluiten van de Overeenkomst met elkaar zijn overeengekomen. 

Artikel 19 Toepasselijk recht en bevoegde rechter 

  1. Op de rechtsverhouding(en) tussen 3D Soundbath en haar Gebruiker is Nederlands recht van toepassing. 
  2. Alle geschillen die tussen 3D Soundbath en Consument mochten ontstaan, worden voorgelegd aan de bevoegde rechtbank in het arrondissement waar Gebruiker zijn of haar woonplaats heeft.
  3. Alle geschillen die tussen 3D Soundbath en de Gebruiker zijnde een zakelijke klant mochten ontstaan, worden voorgelegd aan de rechtbank Noord-Holland, te Haarlem.
